Introduction

Welcome to Răgaz, the Romanian mindfulness and mental health app.

These Terms and Conditions ("Terms") explain your rights and obligations when using Răgaz on iOS, Android, or the web. By creating an account, using the app, or making a purchase, you agree to these Terms. Please read them carefully. If you do not agree, you should not use Răgaz.

By using Răgaz, you acknowledge that you have read and understood these Terms and conditions.

1. Acceptance of Terms

By accessing or using Răgaz, you confirm that you understand and accept these Terms and our Privacy Policy. If you create an account or subscribe to Răgaz Premium, you will be required to agree to these Terms. If you do not accept the Terms, you are not authorized to use Răgaz. These Terms form a binding agreement between you ("you" or "the user") and the Răgaz app provider, Space Magic SRL ("Răgaz", "Space Magic", "we" or "us"). We may update these Terms from time to time (see Section 12 on Changes to Terms), and continued use of the app means you accept the updated Terms.

2. Description of Răgaz Services

Răgaz offers a freemium mindfulness and meditation service with both free and paid features. All users have access to basic content at no cost, and users can upgrade to a paid subscription ("Premium plan") for full access. Below is a summary of what free and premium users currently get:

• Free (Basic) Features: As a free user, you can access a selection of mindfulness content each day. This includes up to 2 daily episodes (covering one topic per day), a library of curated podcasts on well-being, a basic mood tracker to log how you feel, guided breathing exercises, and a few other introductory features to support your mindfulness practice. Free users get valuable content daily, but access to some topics and advanced tools is limited.
• Premium (Paid) Features: As a Răgaz Premium subscriber, you unlock all topics and full content access. Paid users can explore the entire library of mindfulness topics and meditation sessions without limits. Premium includes all free features plus additional perks like an expanded mood journal with more features, advanced meditation courses, exclusive content added regularly, and any new features we introduce. In short, premium members get the full Răgaz experience with no feature restrictions.

All users, whether free or premium, can use Răgaz on iOS, Android, Web or through partner third party platforms. The content and functionality may be updated or expanded over time as we improve the app, and we may change which features are available to free users at any time.

3. Accounts and Eligibility

To get the most out of Răgaz, you should create a personal account. Here are the rules for accounts and who can use the app:

• Eligibility: You must be at least 16 years old (or the age of majority in your region) to use Răgaz without parental consent. If you are under the required age, you may only sign up to use the app under the supervision of a parent or legal guardian who agrees to these Terms. By creating an account, you affirm that you are eligible to use the service.
• Account Registration: When you sign up, you will be asked to provide certain information (like your email and a password). You agree to provide accurate, current information and to keep it updated. Please choose a secure password and keep it confidential. You are responsible for all activity on your account, so do not share your login credentials. If you suspect any unauthorized use of your account, notify us immediately
• One Account Per User: Your Răgaz account is for your personal use only. Please do not create multiple accounts or share your account with others. For multiple-person subscription plans (such as Duo or Family), you are still required to create separate accounts. We reserve the right to refuse service, suspend, or terminate accounts that violate these rules (see Section 11 on Termination).
• Account Security: We care about your security. However, you are responsible for maintaining the security of your device and account. Răgaz will not be liable for any loss or damage arising from your failure to safeguard your login information.

4. Subscriptions and Purchases

Răgaz offers optional paid subscriptions or "Premium plans" ("Răgaz Premium", "Răgaz Duo", "Răgaz Family") that unlock all app content and features. This section explains how subscriptions and payments work:

• Purchasing a Subscription: You can subscribe to any Premium plan through the mobile app or via our website. The subscription fee, billing period (e.g. monthly or yearly), and features included will be shown to you before you confirm your purchase. By completing a purchase, you authorize us (or our partner payment processor) to charge the subscription fee to your provided payment method.
• Auto-Renewal: All Premium plan subscriptions recur automatically to avoid any interruption of service. This means your subscription will renew at the end of each billing cycle (for example, each month or year) and your payment method will be charged again, unless you cancel before the renewal date.
• Managing or Canceling Your Subscription: You can cancel auto-renewal at any time through your Răgaz account settings or by contacting our support. Cancellation will prevent future charges, but you will retain Premium access for the remainder of the period you already paid for. (For example, if you cancel in the middle of a month, you keep premium access until the end of that paid month.)
• Free Trial: Răgaz may offer a free trial period for Premium plans that would automatically convert to a paid subscription if not canceled before it ends. To subscribe to a free trial, you must provide payment information, just like you would for any Premium plan. You can cancel at any time during the trial period to avoid being charged.
• Price Changes: Răgaz may occasionally adjust subscription prices or offer new subscription options. If the price of your subscription is due to change, we will notify you in advance (for example, via email or in-app notification). If you do not agree to a price change, you may cancel your subscription before the new price takes effect. Continuing to use Răgaz Premium after the price change goes into effect constitutes acceptance of the new price
• Taxes: Subscription fees are listed exclusive of any applicable taxes (unless stated otherwise). If any taxes apply (such as sales tax or VAT), they may be added to the charges, as required by law.

5. Refund Policy

We want you to enjoy Răgaz, and we understand that sometimes things don't work out. Răgaz offers refunds under certain circumstances. Here is our refund policy in simple terms:

• Eligibility for Refunds: If you are a new subscriber and find that Răgaz Premium isn't a good fit, or if you experience a problem with the service, you can request a refund. Generally, we honor refund requests made within a reasonable time after purchase (for example, within 14 days of a subscription purchase), but we reserve the right to consider each request on a case-by-case basis. Our goal is to be fair and understanding.
• How to Request a Refund: To request a refund, please contact our support team at [email protected] and provide the details of your purchase (such as the email used for your account or the purchase receipt if you have it). We may ask for additional information to verify your purchase. We aim to process refund requests promptly.
• Refund Outcome: If a refund is approved, we will typically issue it to the same payment method you used. Please note that it may take several business days for the refund to appear on your bank or credit card statement. If a refund is not possible (for example, if it's outside the allowed time frame or it was a repeated offense), we will inform you and explain any alternatives if available.
• No Refund for Late Cancellations: If you forget to cancel auto-renewal on time and your subscription renews, we generally do not offer refunds for that renewal period. However, you will still have Premium access until the end of the period you paid for. You can cancel for the next period as described above to avoid further charges.

We aim to be flexible and help our users, but abuse of the refund policy (such as repeated refund requests after consuming content) is not allowed. Nothing in this Refund Policy affects your statutory rights. If you believe you have a right to a refund under law, we will certainly honor what the law or policy requires.

6. User Content and Privacy

Răgaz includes features that allow you to input personal data for your own benefit, such as journaling and mood tracking. We take your privacy seriously. This section explains how we handle user-generated content and data:

• Your Journal and Mood Entries: When you use the Răgaz mood tracker or journaling features, the entries you create (your moods, reflections, notes, etc.) are private to you. Răgaz does not publish or share your personal journal content with other users or the public. Your data is stored securely in your account so that you can access it across your devices. We will not access or use your private entries except as necessary to provide the service (for example, syncing your data, backups, or if you request support that involves looking into an issue with your data), or as stated in our Privacy Policy.
• Data Privacy: Any personal information you provide (such as your account info and journal entries) is subject to our Privacy Policy. The Privacy Policy explains what data we collect and how we use and protect it. In short, we use your data to provide and improve the Răgaz service and we do not sell your personal data to third parties. We employ standard security measures to protect your information. However, no service is 100% secure, so you also play a role in keeping your account safe (for instance, by using a strong password).
• User Content Ownership: You retain ownership of the content you create in Răgaz (your journal notes, mood log entries, etc.). We do not claim any ownership over your personal entries. These belong to you. By using Răgaz, you grant us a license to store and process your content solely for the purpose of operating the service. For example, to display your journal back to you, to back up your data, or to sync it to your devices. This license is limited to those purposes and we will never use your private content for marketing or make it public without your permission.
• Future Community Features: Răgaz may introduce community or social features in the future (for example, a community forum, group meditations, or the ability to share quotes or progress with others). If and when social sharing features are added, we will update these Terms to include guidelines for content sharing, and we will clearly inform you of how any content you choose to share will be used or seen by others. You will always have control over whether to share anything publicly. Content you post in any community forum or shared space (if introduced) would no longer be private, so we would provide rules (e.g. no harassment, no inappropriate content) to keep the community safe. But until such features are launched, assume that Răgaz is a personal tool and your inputs remain private.
• Prohibited Content: Even though your journal and mood data are private, you agree not to use Răgaz to store or transmit any content that is unlawful, abusive, or violates the rights of others. You should also not upload viruses or malicious code. If we discover misuse of the app (for example, using the journal to plan illegal activities), we reserve the right to take appropriate action, including possibly terminating the account. (This has never happened, but we have to state it for legal completeness.)

For more details on how we protect your data, please refer to the RăgazPrivacy Policy. Always remember to log out or secure your device if you are concerned about others around you seeing your entries. We can keep data safe on our servers, but we can't prevent someone with physical access to your phone from opening the app if you're logged in.

7. Third-Party Content and Services

As part of providing a rich mindfulness experience, Răgaz may include or recommend content from third parties, such as curated podcasts or links to external resources. It's important to understand that:

• External Podcasts and Links: Răgaz's curated podcasts are typically hosted on third-party platforms or provided by external content creators. When you play a podcast or follow a link through our app, you might be using a third party service (for example, an embedded player or a link that opens another app or website). We do not own or control third-party content. These podcasts and external resources have their own terms and privacy policies, which may differ from ours. Răgaz provides access to them for your convenience and does not take responsibility for their content.
• Not Endorsements: Just because Răgaz features or links to a third-party meditation, podcast, article, or other resource does not mean we endorse or guarantee the accuracy of that content. Use your discretion and judgement when engaging with third-party materials. If you find any linked content that is inappropriate or broken, please let us know.
• Third-Party Integrations: If Răgaz integrates with other apps or services (for example, an option to log mindfulness minutes to Apple Health or Google Fit), any data exchange or use from those services will be explained to you and subject to your permission. We will not send your data to thirdparty services without your consent. Similarly, if you come to Răgaz via a partner (say, a wellness program or employer offering access), some information might be shared between Răgaz and that partner with your consent. We will be transparent about such cases.

In summary, while we strive to select high-quality external content, Răgaz isn't liable for third-party offerings. Always review the respective terms and privacy policies if you jump to an external service from our app.

8. Intellectual Property (App Content and Rights)

Răgaz contains content and software that are protected by intellectual property laws. It's important that we protect our rights (and those of our content providers) so we can continue to offer great content. Here's what you need to know:

• Our Content: All materials in the Răgaz app and services, including text, audio recordings (meditations, stories, etc.), music, graphics, logos, videos, software code, and compilations, are owned by Răgaz or our licensors and are protected by copyright, trademark, and other intellectual property laws. Răgaz retains all rights, title, and interest in the app and its content. These materials are provided for your personal, non-commercial use as part of the service.
• License to You: When you use Răgaz in accordance with these Terms, we grant you a limited, nonexclusive, non-transferable, revocable license to access and use the app and its content for personal, non-commercial purposes. This means you can listen to the meditations, read articles, and use our tools for yourself, but you do not acquire ownership of any of our content by downloading or using it.
• Restrictions: You agree not to copy, distribute, modify, record, or create derivative works from our content without our express permission. In plain language, this means you shouldn't take the guided meditations or other materials from Răgaz and repost them elsewhere, or try to resell them. Also, you shouldn't reverse engineer or decompile our app, or attempt to bypass any security or access controls. Please respect the hard work of our team and contributors.
• Trademarks: The name "Răgaz," our logo, and any slogans or taglines we use are our trademarks or service marks. You agree not to use Răgaz's name or branding in a way that confuses others or implies an endorsement by us without our written consent.
• Feedback: We love to hear from you! If you choose to provide feedback or suggestions regarding Răgaz ("Feedback"), please understand that we may use your Feedback to improve our product. You agree that Răgaz may use, modify, and incorporate any Feedback you provide without any restriction or compensation to you. (This simply allows us to act on good ideas you share with us.)
• Copyright Concerns: We respect intellectual property rights of others. If you believe that any content in Răgaz infringes your copyright or other IP rights, please contact us at [email protected] with the details. We will investigate and, if appropriate, remove the content or disable access to it in accordance with applicable law.

By respecting these rules, you help us maintain a platform that can continue to offer high-quality mindful content. Unauthorized use of Răgaz content may result in termination of your account and could have legal consequences.

9. Health and Wellness Disclaimer (No Medical or Therapeutic Advice)

Răgaz is designed to support your mental well-being through mindfulness techniques, but we are not a medical or healthcare provider. It's important to understand the following:

• Informational Purposes Only: The content in Răgaz (including guided meditations, breathing exercises, articles, and podcasts) is provided for general informational and educational purposes to support mindfulness and stress relief. It is not intended as medical advice, psychological therapy, or any other form of professional healthcare or counseling. We do not diagnose conditions, provide treatment plans, or give personalized health advice.
• Not a Substitute for Professional Help: Using Răgaz is not a substitute for professional medical advice or therapy. If you have or suspect you have a mental health condition or any medical condition, you should consult with a qualified healthcare professional. Do not ignore or delay seeking medical or mental health advice because of something you heard or read in our app. For example, if you are experiencing severe anxiety, depression, or any other serious condition, please seek help from a doctor or licensed therapist.
• No Guarantee of Outcomes: While we sincerely hope Răgaz helps you feel better and more mindful, we cannot guarantee any specific results. Each person's experience with meditation and mindfulness is different. Some may find great benefit, while others may not notice significant changes. Any testimonials or user stories we might share are individual experiences and not promises of what you will experience.
• Use at Your Own Risk: You assume full responsibility for how you use the information and techniques provided by Răgaz. If you use the breathing exercises, meditations, or other activities, do so in a safe environment (e.g., do not practice breathing exercises while driving or doing something that requires full attention). If you experience discomfort or adverse effects (for instance, certain deep breathing might cause light-headedness), stop and consult a professional if necessary.
• Emergency Situations: Răgaz is not intended for crisis situations or emergency help. If you are in crisis or experiencing severe distress (for example, suicidal thoughts or a panic attack), or if you have a medical emergency, stop using the app and seek immediate help. Contact emergency services or a crisis hotline in your area. The app does not have the capability to connect you with emergency services and the content is not tailored for emergency intervention.

In summary, we do our best to provide helpful wellness content, but we make no medical claims. Always use common sense and seek professional guidance when needed. You acknowledge that any reliance on the information provided by Răgaz is solely at your own risk.

10. Disclaimer of Warranties

We strive to keep Răgaz available, accessible, and beneficial, but there are some things we need to disclaim legally. Using Răgaz involves internet and technology, which can sometimes be unpredictable. Therefore:

• "As Is" and "As Available": Răgaz is provided to you "as is" and "as available", with all its current features. We make no express warranties or guarantees about the service. This means we do not promise that the app will be free of errors, uninterrupted, or meet all of your expectations at all times.
• No Warranty of Accuracy or Reliability: While we work hard to ensure our content is high-quality and accurate, we do not warrant that any information provided is 100% accurate, complete, or reliable. For example, a podcast we curate might express opinions or information that we have not independently verified. Use your own discretion and judgment.
• Not Liable for Technical Issues: We do not guarantee that Răgaz will work perfectly on every device or with every operating system forever. Occasional downtime or bugs may occur. We are not responsible for any issues or losses resulting from technical problems, such as if the app becomes temporarily unavailable, or if data (like your journal entries) are lost or corrupted due to a technical fault (though we certainly try to prevent data loss through backups).
• No Warranty of Fitness: We disclaim any implied warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. In plain terms, we are not guaranteeing that Răgaz is fit for your specific needs or that it won't infringe someone's rights (though we certainly hope not).

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not fully apply to you. But in any case, we want to emphasize that we are providing this service in good faith, but without extensive promises, and there's always a chance something might not work perfectly.

11. Limitation of Liability

This section is important as it limits the potential liability of Răgaz to you. By using Răgaz, you agree to these limits:

• Indirect Damages: To the maximum extent allowed by law, Răgaz and its team will not be liable for any indirect, incidental, special, consequential, or exemplary damages. This includes damages for loss of profits, loss of data, personal injury, or emotional distress, or other losses that result from use of (or inability to use) the app, even if we've been advised of the possibility of such damages. For example, we aren't liable if using the app somehow leads to you feeling upset, or if our service being down causes a disruption in your routine that leads to some loss.
• Direct Damages Cap: To the extent we are found liable for any claim, our total liability to you will not exceed the amount you have paid us in the last 12 months (if anything). If you have never paid (only used the free version), or if it's been more than a year since you paid, our liability is limited to a nominal amount (for example, $0 or €0 in that case). This limitation applies whether the claim is based on contract, tort, strict liability, or any other legal theory.
• Third Parties: Răgaz is not liable for the conduct or content of third parties. If you interact with any third-party content or services through the app (such as an external podcast or partner platform), any dispute or issue that arises is between you and that third party, not Răgaz. We do not assume responsibility for the actions of users or external providers.

By agreeing to these Terms, you acknowledge that these liability limitations are reasonable.

12. Account Suspension and Termination

We hope you continue to use Răgaz for a long time, but you should be aware of how either you or we may end this relationship if needed:

• Your Right to Terminate: You can stop using Răgaz at any time. If you wish to delete your account and data, you can contact us at[email protected] with a deletion request (or use the "Delete Account" feature). Account deletion is separate from canceling a subscription: if you simply delete the app or your account without canceling your paid subscription through the proper method, you may still be charged if the subscription renews. So be sure to both cancel your subscription (Section 4) and request account deletion if you want to completely leave Răgaz.
• Our Right to Suspend or Terminate: We reserve the right to suspend or terminate your access to Răgaz if we have reason to believe that you have violated these Terms or are misusing the service. For example, if someone were hacking the app, harassing others, or using Răgaz in a way that could cause harm, we might suspend that account. In most cases, for minor issues, we would provide a warning first. For serious violations or illegal activities, we may suspend or terminate immediately without notice.
• Effect of Termination: If your account is terminated (by you or by us), your right to use the app ends immediately. You will lose access to any data in the app unless you have exported it earlier (so if you have important journal entries, make sure to save them if you plan to leave). If we terminate your account due to a violation of these Terms, you may not be entitled to a refund of any unused subscription period. If you terminate (cancel) on your own, per Section 4, you can continue to use premium until the end of the period you paid for, but it will not renew.
• Discontinuation of Service: Răgaz reserves the right to discontinue the app or any portion of the services at any time (for example, if the company ceases operations or shifts focus). If that happens, we will attempt to notify users in advance via the app or email. If we discontinue paid services, we may provide pro-rated refunds for any remaining subscription time that was paid for but not usable, as required by law.
• Surviving Terms: Even after your use of Răgaz ends, certain provisions of these Terms will remain in effect. These include sections relating to intellectual property, disclaimers, limitation of liability, governing law, and any other clauses which by their nature should survive termination.

We truly hope none of these actions become necessary. Our aim is to provide a positive, ongoing experience. If you have any concerns about your account or feel you've been wrongfully suspended, please reach out to us.

13. Changes to These Terms and the Răgaz Service

• Updates to Terms: Răgaz may update or modify these Terms from time to time. For example, we might update terms to cover new features or to comply with legal requirements. When we make material changes, we will notify you by posting the updated Terms on our website and/or through an in-app notification. We may also update the "Last updated" date at the top of this document. It's your responsibility to review the Terms periodically. By continuing to use Răgaz after changes to the Terms are posted, you agree to the revised Terms. If you do not agree with any update, you should stop using the app and (if applicable) cancel your subscription.
• Changes to the Service: We are constantly evolving Răgaz to improve your experience. This means we may add, change, or remove features or content. We reserve the right to do so at any time. We know change can be surprising, so we try to announce major changes (like if we were to remove a core feature or introduce a significant new feature). However, smaller updates (like UI changes, new content additions, or performance improvements) might happen regularly. Any new feature that we add will also be subject to these Terms.
• App Updates: If you've downloaded the mobile app, note that updates may be automatically downloaded to your device (depending on your settings) to improve functionality or security. Please install updates promptly for the best experience and security patches. We are not responsible for issues arising from outdated app versions if you decline updates.
• Why We Change Terms: To be transparent, reasons for updating Terms might include changes in law, changes in our business practices, adding community features (which would require adding rules about user postings), or clarifying existing terms. We strive not to make the Terms more complicated than necessary, and we will not retroactively remove your rights without notice.

We encourage you to stay informed about the Terms to ensure you understand your rights and responsibilities while using Răgaz.

14. Governing Law and Disputes

• Governing Law: These Terms and your use of Răgaz are governed by the laws of Romania. We choose Romanian law because Răgaz is developed and operated from Romania. That said, we recognize users may be in other countries, and mandatory consumer protection laws of your country might give you additional rights. These Terms will not limit those rights where applicable law says they cannot be limited by a contract.
• Jurisdiction: In the event of any dispute between you and Răgaz that cannot be resolved amicably, and unless required otherwise by a specific law of your country, you agree that such dispute will be resolved by the competent courts of Romania. We hope to never have disputes reach this stage, and we encourage you to contact us to work out any issues informally first.
• Compliance with Laws: You are responsible for complying with all local laws applicable to your use of Răgaz. We make no representations that the app is appropriate or available for use in all jurisdictions. If you are in a jurisdiction where mindfulness apps or certain content are restricted, you use Răgaz at your own initiative and are responsible for compliance.

15. Miscellaneous

This section includes a few additional standard provisions to keep our agreement legally sound and clear:

• Entire Agreement: These Terms (along with the Privacy Policy and any other guidelines or policies we provide within the app) constitute the entire agreement between you and Răgaz regarding the use of the service. They supersede any prior agreements or communications (whether oral or written) relating to your use of Răgaz. Any additional or different terms you propose (for example, in any communication) are rejected unless explicitly agreed by us in writing.
• Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions of the Terms will remain in full force and effect. In other words, the invalid part will be cut out or modified as little as necessary, and the rest of the agreement stays binding.
• No Waiver: Our failure to enforce any part of these Terms is not a waiver of our right to later enforce that or any other part of the Terms. For example, if you violate the Terms and we don't immediately take action, it doesn't mean we are giving up any rights or that you may not have to comply in the future.
• Assignment: You may not assign or transfer your rights or obligations under these Terms to anyone else without our prior written consent. We may assign our rights and obligations to an affiliate or in connection with a merger, acquisition, or sale of assets, or by operation of law or otherwise. These Terms will bind and inure to the benefit of the parties and their permitted successors and assigns.
• No Third-Party Beneficiaries: These Terms are just between you and Răgaz; they do not create any third-party beneficiary rights. That means no other person or company can claim that the Terms give them rights against either you or us (except parties we assign under the above clause, if applicable).
• Headings and Summaries: The section titles (like "Governing Law and Disputes" or "Introduction") and brief summaries we provide at the start of some sections are for convenience and readability only. They do not have legal effect. The full text of each section is what matters legally, not the heading.
• Language: These Terms are provided in English. If we provide a translation in another language, it is for convenience. In the event of any conflict between the English version and a translated version, the English version will govern.
